Terms of Service

These Terms of Service ("Terms") govern your access to and use of Neuron AI, including our website, software, services, Discord community, and related features (collectively, the "Service"), operated by Neuron.
By purchasing, downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be legally capable of entering into an agreement to purchase or use the Service.
If you are under the age required to enter into a binding agreement in your jurisdiction, you must have permission from a parent or legal guardian where required.
You must also comply with the rules and terms of any third-party platforms you use in connection with the Service.
2. Software Licence
When you purchase access to Neuron AI, you are purchasing a limited licence to use the software, not ownership of the software itself.
Unless explicitly stated otherwise, your licence is:
- personal;
- non-exclusive;
- non-transferable;
- non-sublicensable; and
- limited to the licence period or product tier you purchased.
You may not sell, trade, gift, share, lease, sublicense, or redistribute your licence without written permission from Neuron.
3. Licence Keys and Account Security
You are responsible for keeping your licence key, account credentials, and access information secure.
You must not:
- share your licence key with another person;
- publish or leak your licence key;
- attempt to sell or trade licence access;
- allow another person to use your account without permission;
- attempt to bypass device or licence restrictions.
Neuron may suspend or terminate a licence if we reasonably believe it has been shared, resold, abused, compromised, or used in breach of these Terms.
4. Device Binding and Resets
Some licences may be tied to a device, hardware identifier, account, or other technical identifier.
Device-reset limits, cooldowns, or approval requirements may apply.
We may refuse repeated or suspicious reset requests where necessary to prevent abuse or unauthorised sharing.
5. Payments and Currency
Prices displayed on the Neuron website may be shown in an estimated local currency based on the user's country or region for convenience.
However, all payments are processed at checkout in Australian Dollars (AUD) unless explicitly stated otherwise.
The amount shown at checkout in AUD is the final purchase price charged by Neuron.
Your bank, card provider, or payment processor may apply currency conversion rates, international transaction fees, or other charges when converting the AUD transaction into your local currency. These charges are determined by the relevant financial institution or payment provider and are outside Neuron's control.
By making a purchase, you confirm that:
- you are authorised to use the selected payment method;
- the information you provide is accurate;
- you understand the product and licence duration you are purchasing; and
- you understand that the final transaction is processed in AUD.
Payments may be processed by third-party payment providers. Their own terms, fees, exchange rates, and privacy policies may also apply.
6. Refunds
Purchases are generally final once digital access or a licence key has been delivered or activated.
However, nothing in these Terms excludes, restricts, or overrides any rights you may have under applicable consumer protection laws, including rights that cannot legally be excluded.
Where required by law, refunds, replacements, repairs, or other remedies will be provided.
Neuron may also choose to provide a refund at its discretion in exceptional circumstances.
7. Chargebacks and Payment Disputes
If you believe a payment was made incorrectly, you should attempt to resolve the issue with Neuron before initiating a payment dispute where reasonably possible.
Fraudulent, dishonest, or abusive chargebacks may result in suspension or termination of licences or accounts associated with the disputed transaction.
This does not affect any lawful right you may have to dispute an unauthorised, fraudulent, or incorrect payment.
8. Prohibited Conduct
You must not use the Service to:
- redistribute, leak, resell, or share Neuron AI without permission;
- share, sell, trade, or redistribute licence keys;
- remove copyright, licensing, or ownership notices;
- impersonate Neuron staff or other users;
- interfere with our website, servers, licensing systems, or infrastructure;
- attempt to gain unauthorised access to another user's account;
- distribute malware, phishing links, scams, or malicious files;
- abuse support systems, payment systems, APIs, or automated services;
- harass, threaten, discriminate against, or deliberately disrupt other members;
- bypass licence restrictions or access controls;
- use the Service in violation of applicable law or applicable third-party platform rules.
Neuron may restrict or terminate access where we reasonably believe these Terms have been breached.
9. Intellectual Property
Neuron AI, including its software, branding, code, graphics, documentation, website content, designs, and other proprietary materials, is owned by or licensed to Neuron unless otherwise stated.
Purchasing a licence does not transfer ownership or intellectual property rights to you.
You may not copy, publish, redistribute, resell, reproduce, or create unauthorised derivative versions of Neuron's proprietary materials.
10. Updates and Changes
Neuron AI may be updated, modified, replaced, or changed over time.
Updates may include:
- bug fixes;
- compatibility changes;
- feature additions or removals;
- security improvements;
- performance improvements;
- maintenance changes.
We do not guarantee that every feature, function, integration, or version of Neuron AI will remain available permanently.
Where practical, Neuron may notify users of significant changes.
11. Service Availability
We aim to keep Neuron AI available and functional but do not guarantee uninterrupted, continuous, or error-free access.
The Service may temporarily become unavailable because of:
- maintenance;
- server outages;
- hosting issues;
- third-party service failures;
- software updates;
- security incidents;
- technical problems;
- circumstances outside our reasonable control.
Neuron is not responsible for temporary interruptions beyond the extent required by applicable law.
12. Third-Party Services
Neuron AI may depend upon or interact with third-party platforms and providers, including hosting services, payment processors, Discord, authentication providers, licensing systems, and other external services.
Neuron does not control these third-party services and cannot guarantee their continued availability or functionality.
We are not responsible for changes, outages, restrictions, suspensions, or other actions taken by third-party providers.
Your use of third-party platforms may also be subject to their own terms, policies, and rules.
13. Discord Community
If you join Neuron's Discord server or other community spaces, you must follow our community rules as well as Discord's applicable Terms of Service and Community Guidelines.
Neuron may warn, mute, restrict, remove, or ban users who breach community rules or deliberately disrupt the community.
Removal from the Discord community does not automatically create a right to a refund unless required by law or specifically stated otherwise.
14. Suspension and Termination
Neuron may suspend or terminate your access to Neuron AI where we reasonably believe you have:
- breached these Terms;
- shared or resold access without permission;
- committed fraud;
- abused our systems;
- attempted to interfere with our licensing or infrastructure;
- attempted to gain unauthorised access to our systems;
- caused harm to Neuron, the Service, or other users.
Where appropriate, we may issue a warning before termination.
Serious, fraudulent, malicious, or repeated breaches may result in immediate termination.
Termination for a breach of these Terms does not automatically entitle you to a refund, except where required by applicable law.
15. Disclaimer
Neuron AI is provided on an "as available" basis to the maximum extent permitted by applicable law.
Neuron does not guarantee that the Service will:
- operate without interruption or errors;
- be compatible with every device, operating system, configuration, or third-party platform;
- remain available indefinitely;
- meet every user's individual expectations or requirements;
- retain every existing feature or integration.
Nothing in these Terms excludes any guarantee, warranty, remedy, or right that cannot lawfully be excluded.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Neuron is not liable for indirect, incidental, special, or consequential losses resulting from the use of or inability to use Neuron AI.
Where liability cannot legally be excluded, Neuron's liability will only be limited to the extent permitted by applicable law.
Nothing in these Terms attempts to exclude or limit liability where doing so would be unlawful.
17. Privacy
Neuron may collect and process information necessary to operate, secure, and provide the Service.
This may include information used for:
- account management;
- licence validation;
- device identification;
- fraud prevention;
- customer support;
- security and abuse prevention;
- payment processing;
- service analytics.
Where Neuron maintains a separate Privacy Policy, that policy provides further information about how personal information is collected, used, stored, and handled.
18. Changes to These Terms
Neuron may update these Terms from time to time to reflect changes to the Service, business operations, legal requirements, security practices, or third-party services.
If we make significant changes, we may notify users through the Neuron website, Discord server, application, or another reasonable method.
Your continued use of Neuron AI after updated Terms take effect may constitute acceptance of the revised Terms where permitted by applicable law.
